BOI Filing for US LLC: What Non-Residents Need to Know in 2026

What is BOI filing?
The Beneficial Ownership Information (BOI) report is a filing required by FinCEN (the US Financial Crimes Enforcement Network) under the Corporate Transparency Act (CTA). It requires most US LLCs to disclose the identity of their beneficial owners — the people who own or control the company.
The BOI requirement applies to virtually all US LLCs, including those owned by non-US residents. There are limited exemptions for large operating companies, regulated entities, and certain other structures — but a standard non-resident-owned LLC almost always must file.
Why was BOI filing introduced?
The Corporate Transparency Act was enacted to combat money laundering, tax evasion, and the use of shell companies to hide illegal assets. By requiring disclosure of beneficial owners, the US government aims to create a national registry of who actually owns and controls US business entities.
This is part of a global trend toward beneficial ownership transparency — similar requirements now exist in the UK, EU, and many other jurisdictions.
Who needs to file — and when?
- All LLCs formed before January 1, 2024: BOI was due by January 1, 2025
- LLCs formed in 2024: must file within 90 days of formation
- LLCs formed from January 1, 2025 onwards: must file within 30 days of formation
- Any changes to beneficial ownership must be reported within 30 days of the change
What information is required?
- Full legal name of each beneficial owner
- Date of birth
- Residential address (or business address for US residents)
- A unique identifying number from a passport, driver's licence, or state ID
- An image of the identifying document

What are the penalties for not filing?
Failure to file can result in civil penalties of up to $591 per day of non-compliance (adjusted annually for inflation). Wilful failure to file or providing false information can result in criminal penalties including fines up to $10,000 and up to 2 years in prison.
