1. Agreement to Terms

These Terms and Conditions ("Terms") govern your use of HynoGo's website, client portal, and all services provided by HYNOGO LLC ("HynoGo", "we", "us", "our").

By placing an order or accessing our services, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use our services.

2. Nature of Services

HynoGo provides:

• Business formation services (US LLC registration, UK LTD registration) • Compliance filing services (EIN, UTR, VAT, BOI, ITIN, Registered Agent) • Business consultancy services (payment platform documentation, banking setup guidance)

**HynoGo is not a law firm.** We do not provide legal advice. Our formation services are document preparation and filing services. For legal advice regarding your specific circumstances, you should engage a qualified attorney.

**HynoGo is not a financial institution.** We do not provide banking, payment processing, or financial services. Payment gateway and banking consultancy services provide documentation guidance only. Final onboarding approval depends entirely on each provider's own eligibility and compliance criteria.

3. Eligibility

You must be at least 18 years old and have full legal capacity to enter into binding contracts. By using our services, you confirm that you meet these requirements.

Our services are available to individuals and businesses worldwide, subject to sanctions screening and AML compliance. HynoGo reserves the right to decline services to any individual or entity at its sole discretion.

4. Orders and Pricing

All orders are placed through our secure client portal. Prices are displayed in USD (US services) or GBP (UK services) inclusive of our service fee unless otherwise stated.

Government filing fees, state fees, and HMRC fees are separate from our service fee and are clearly disclosed before order completion. HynoGo reserves the right to update pricing. Orders are processed at the price displayed at time of order placement.

5. Refund Policy

**Company Formation (US LLC / UK LTD):** 3-day conditional refund available if filing has not been submitted. Once submitted to the relevant authority, refunds are not available as government fees are non-refundable.

**EIN Registration:** Full refund if HynoGo cannot obtain the EIN. Non-refundable once issued.

**Payment Gateway / Banking Consultancy:** Non-refundable once documentation preparation has commenced. HynoGo fulfils its consultancy obligation regardless of third-party provider outcomes.

**Add-On Services:** See individual service terms. Generally non-refundable once processing has commenced.

6. Service Delivery Timelines

Estimated timelines are provided in good faith based on standard processing times:

• US LLC Formation: 2 business days (state filing) • UK LTD Formation: 3–4 hours (Companies House) • EIN Registration: 2–3 business days (IRS) • UTR Registration: 1–2 weeks (HMRC) • VAT Registration: 2–4 weeks (HMRC) • BOI Filing: 1 business day • Payment Platform Consultancy: 3–7 business days

Timelines may vary due to authority processing delays outside HynoGo's control. We will notify clients of any delays.

7. Limitation of Liability

HynoGo's total liability in connection with any service shall not exceed the total fees paid by the client for that specific service.

HynoGo is not liable for:

• Decisions made by third-party payment providers, banks, or financial institutions • Loss of business, contracts, revenue, or profits • Indirect, consequential, or special damages • Errors in information provided by the client • Delays caused by government authorities • Changes in third-party platform policies or eligibility criteria

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

8. Intellectual Property

All website content, templates, documentation, and materials are the intellectual property of HYNOGO LLC. Clients receive a limited licence to use their formation documents for lawful business purposes.

Reproduction or commercial distribution of HynoGo's materials is prohibited without prior written consent.

9. Governing Law

These Terms are governed by the laws of the State of Montana, United States. Any disputes shall be subject to the exclusive jurisdiction of the courts of Montana.

For clients in the European Union or United Kingdom, mandatory consumer protection rights under applicable local law are not affected by this choice of law.
