These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client", "User", "you") and HYNOGO LLC ("HynoGo", "we", "us", "our"), governing your access to and use of hynogo.com, our client portal (corp.hynogo.com), and all associated company formation, tax registration, telecommunications, and consultancy services.

By browsing our website, registering an account, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms and our incorporated Refund, Privacy, and AML Policies. If you do not agree, you must immediately refrain from using our platform and services.

HynoGo provides business formation clerical services (US LLC and UK LTD filing), registered agent coordination, statutory tax document preparation (EIN, ITIN, BOI, UTR, VAT), telecommunications solutions (HynoConnect), and business documentation consultancy.

A. HynoGo is NOT a Law Firm: We are a corporate formation service and document preparation company. We do NOT provide legal representation, legal advice, legal opinions, or court advocacy. Using our website or services does not create an attorney-client relationship. If you require legal advice tailored to your specific circumstances, you should consult an independent, licensed attorney in the appropriate jurisdiction.

B. HynoGo is NOT a CPA Firm or Tax Advisor: We do NOT provide formal accounting, auditing, or licensed tax advice. Information provided regarding US or UK tax structures is general informational guidance. Clients are solely responsible for seeking advice from a certified public accountant (CPA) or chartered tax advisor.

C. HynoGo is NOT a Bank or Payment Processor: We do not hold deposits, manage client funds, or process consumer payments on your behalf. Our payment consultancy services assist clients with preparing corporate documentation according to standard platform requirements. We are not affiliated with, sponsored by, or an agent of Stripe, Wise, Mercury, Brex, Square, or any banking institution. Final approval for any account, merchant facility, or financial service is made exclusively and independently by each respective financial institution. HynoGo cannot and does not guarantee third-party approval.

To comply with applicable US and UK Anti-Money Laundering (AML), Counter-Terrorist Financing (CTF), and Know Your Customer (KYC) regulations (including the US Corporate Transparency Act and UK Money Laundering Regulations 2017), all clients ordering company formations or corporate services are required to complete identity verification.

Use of Didit: We utilize Didit (didit.me) as our authorized third-party identity verification and sanctions screening sub-processor. By placing an order, you consent to submitting your government-issued identification document and completing an automated biometric liveness check via Didit. You warrant that all identification materials and beneficial ownership details provided are authentic, accurate, and belong to you.

Failure or refusal to complete required verification, or failure of sanctions screening against international watchlists (e.g., OFAC, UN, EU, UK HMT), will result in immediate suspension or cancellation of services in accordance with our AML Policy.

You must be at least 18 years of age and possess full legal capacity to enter into binding contracts. By using our services, you warrant that:

• You are not a citizen or resident of any country subjected to comprehensive international sanctions (e.g., sanctioned jurisdictions designated by OFAC, the UN, or the UK Government).
• You are not listed on any international financial sanctions or terrorist watchlists.
• Any company formed through HynoGo will be used exclusively for lawful commercial purposes and not for money laundering, terrorist financing, tax evasion, fraud, or prohibited activities.
• All information provided regarding entity name, directors, members, and beneficial owners is truthful, current, and complete.

All prices are clearly stated in USD (or GBP for UK formations). Pricing includes our transparent service fees and clearly itemizes mandatory statutory government filing fees.

A. Government Statutory Fees are Strictly Non-Refundable: Filing fees paid to state government registries (e.g., Wyoming Secretary of State, Delaware Division of Corporations), UK Companies House, HMRC, or IRS are non-recoverable once your application is submitted to the government filing authority. Under no circumstances can government fees be refunded after submission.

B. HynoConnect Virtual Numbers are Strictly Non-Refundable: Virtual telephone numbers, SIM activations, and carrier line allocations are non-refundable once provisioned in your client dashboard, as carrier leasing and network routing costs are irreversibly incurred upon assignment.

C. Service Fee Refund Window: A conditional refund for HynoGo's formation service fee is available strictly within 3 calendar days of order placement, provided that official government filing has not yet been submitted (minus payment gateway merchant fees), as detailed in our Refund Policy.

All services provided by HynoGo are fulfilled digitally. Formation certificates, Articles of Organization, Operating Agreements, and tax documentation are uploaded directly to your secure client portal at corp.hynogo.com and sent to your registered email address.

Stated delivery timelines (e.g., 2 business days for US LLCs, 3–4 hours for UK LTDs, 2–3 days for EINs) represent standard processing estimates under normal conditions. HynoGo is not liable for delays caused by government agency processing backlogs, state server outages, or IRS maintenance periods.

Clients subscribing to HynoConnect business phone lines agree to adhere strictly to all telecommunications carrier regulations and acceptable use standards:

• Phone lines must not be used for unsolicited telemarketing, spam SMS, phishing, harassment, robocalling, or fraudulent activities.
• Outbound messaging must comply with applicable carrier rules, including 10DLC registration, A2P guidelines, and recipient consent requirements (CAN-SPAM, TCPA, PECR).
• Monthly subscription fees are billed in advance. Failure to pay monthly renewals may result in line deactivation and return of the number to the public carrier pool.

You may not use HynoGo services or formed entities for:

• Any unlawful purpose or in violation of any local, state, national, or international law.
• Facilitating pyramid schemes, deceptive high-risk financial schemes, or unregistered securities offerings.
• Sale of illegal substances, counterfeit goods, or unlicensed gambling activities.
• Evading or violating international financial sanctions, anti-money laundering (AML) controls, or disguising illicit funds.

HynoGo reserves the right to immediately terminate services, resign as Registered Agent, and report unlawful activity to competent authorities without prior notice.

To the maximum extent permitted by applicable law, HYNOGO LLC, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with our services.

HynoGo's total cumulative liability for any claim arising from a service shall not exceed the actual service fee amount paid by you to HynoGo for that specific service during the preceding twelve (12) months.

These Terms shall be governed by and construed in accordance with the laws of the State of Montana, United States, without giving effect to any conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the state and federal courts located in Flathead County, Montana.
