Legal Methodology

The 4-Stage Statutory Restoration Process

Reviving a struck-off entity requires precise coordination between Companies House, HMRC, and the Treasury Solicitor. Here is how we execute it.

01

Companies House Audit & Feasibility Review

We analyze your dissolved company record at Companies House, determine the exact strike-off grounds (Section 1000 administrative strike-off vs. voluntary DS01 dissolution), and identify overdue statutory filings.

02

Bona Vacantia & Crown Waiver Application

If company bank accounts are frozen, funds vest in the Crown under Bona Vacantia. We petition the Government Legal Department (Treasury Solicitor / BVD) or the Duchies of Lancaster/Cornwall to issue the statutory Crown waiver.

03

Filing Statutory Accounts & Form RT01

We prepare and submit Form RT01 (Application for Administrative Restoration) along with required past-due Annual Confirmation Statements (CS01) and statutory accounts to Companies House.

04

Gazette Notice & Bank Account Unfreezing

Once the Registrar approves restoration, an official notice is published in The London Gazette. The company is legally deemed never to have been dissolved, enabling immediate unfreezing of commercial bank accounts.

Legal Classification

Which Restoration Pathway Applies to Your UK Entity?

Administrative Restoration (Section 1024)

Involuntary Registrar Strike-Off

Applies when Companies House dissolved your company on statutory grounds (e.g. failure to file Confirmation Statements or annual accounts), the company was actively trading at the time of dissolution, and less than 6 years have passed.

  • Does NOT require a court appearance or barrister
  • Eligible for Treasury Solicitor Bona Vacantia waiver
  • Fastest route to unfreeze Wise, Revolut or Barclays accounts
Court Order Restoration (Section 1028)

Voluntary Dissolution or Complex Claims

Mandatory if the directors themselves filed Form DS01 to strike off the company, or if more than 6 years have elapsed since dissolution, or for creditor debt recovery claims against the dissolved entity.

  • Formal petition filed in the High Court / County Court
  • Notice served on the Registrar and Treasury Solicitor
  • Court order restores entity as if dissolution never occurred

Frequently Asked Questions

What is the difference between Administrative Restoration and Court Order Restoration?

Administrative Restoration (Section 1024 Companies Act 2006) is available if Companies House struck off your company for administrative default (such as missed confirmation statements or accounts) within the last 6 years, and you were trading when dissolved. It is faster and avoids court litigation. Court Order Restoration (Section 1028) is required if the company was dissolved voluntarily by directors via Form DS01, or if over 6 years have elapsed.

What happens to money in our UK bank account when our LTD is struck off?

Under UK law, the moment a company is dissolved, all corporate assets and bank balances immediately become 'Bona Vacantia' (ownerless goods) and transfer to the Crown. Banks automatically freeze the account. You cannot access these funds until the company is legally restored and a Crown Bona Vacantia waiver is granted.

How long does UK administrative company restoration take?

Administrative restoration typically takes between 2 to 4 weeks, depending on the Treasury Solicitor's response time for the Bona Vacantia waiver and Companies House processing speeds. Court restorations require additional court listing time.

Do I have to pay Companies House penalties to restore the company?

Any late filing penalties that were already due before strike-off must be settled with Companies House upon restoration. Outstanding confirmation statements and accounts must also be brought up to date.

How much does company restoration cost?

Costs vary depending on whether the company qualifies for administrative restoration or requires a court petition, as well as the number of overdue statutory filings and Bona Vacantia waiver requirements. We conduct a free preliminary dossier assessment and provide a tailored scope of work.
