What Is a Confirmation Statement?
A Confirmation Statement (Form CS01) is an annual compliance filing that every UK Limited Company must submit to Companies House to confirm or update its registered company information. This replaced the Annual Return in 2016. It must be filed at least once every 12 months from the date of incorporation (or from the last confirmation statement date).
What Information Is Confirmed?
The Confirmation Statement confirms: registered office address, directors and their service addresses, company secretary (if appointed), share capital and share classes, shareholder (member) details, SIC (Standard Industrial Classification) code, and whether the company has taken up its PSC (People with Significant Control) register. Any changes must be updated before or within the CS01 filing.
Penalties for Late Filing
Companies House imposes a £150 fine for late confirmation statement filing. More seriously, persistent failure to file can result in Companies House striking your company off the register — effectively dissolving your UK LTD. Difference Between Confirmation Statement and Annual Accounts
A Confirmation Statement confirms your company's registered details with Companies House. Annual Accounts (financial statements) are a separate filing reporting your company's financial performance and are submitted to both Companies House and HMRC. Both are mandatory for UK LTDs — they are different filings with different deadlines.
PSC Register — People with Significant Control
The Confirmation Statement also confirms your PSC (People with Significant Control) register — the individuals or entities that own or control 25% or more of the company. UK law requires this information to be accurately maintained and reported. Non-compliance with PSC reporting is a criminal offence under the Companies Act 2006.
