Quick answer
Administrative restoration puts a struck-off UK company back on the register without a court order. Apply with form RT01 and the £341 fee within six years of dissolution, after filing every overdue document and settling penalties. A Bona Vacantia waiver is needed if the company held assets.
Administrative restoration vs court-ordered restoration
There are two paths back onto the Companies House register, and which one applies depends on how your company was dissolved. Administrative restoration — the simpler, faster route — is only available if the Registrar struck the company off compulsorily (for missed filings) rather than the directors applying for voluntary strike-off themselves. If your company was voluntarily struck off via Form DS01, you'll need a court order to restore it instead — a separate, more involved legal process.
Who can apply, and the time window
You can apply for administrative restoration if you were a director or shareholder of the company, it was struck off and dissolved by the Registrar within the last 6 years, and the company was actually trading at the time it was dissolved. That 6-year window is firm — after it closes, restoration requires a different, more complex legal route.
What you need to submit
The application package has several required components, all of which need to be assembled together:
- A completed RT01 application for administrative restoration
- The £341 restoration fee
- Every outstanding document that should have been filed — overdue Annual Accounts, Confirmation Statements, or both
- Any outstanding late-filing penalties tied to those overdue documents
- A Bona Vacantia waiver letter, if the company held any assets at the point of dissolution (since those assets technically passed to the Crown upon dissolution)
What happens once restoration is granted
Once the Registrar restores the company, it's legally treated as if it had continued in existence the entire time — never dissolved or struck off. This matters practically: it's what allows frozen bank accounts, pending contracts, and the company's legal standing to be reinstated rather than requiring you to start over with a new entity.
Why acting quickly matters
Every month a company remains dissolved is a month its bank accounts stay frozen and its contracts remain in legal limbo. The required outstanding filings also don't shrink while you wait — if anything, additional Confirmation Statement or Accounts deadlines may pass during the delay, adding more documents and penalties to the eventual restoration package.
