UK Compulsory Strike-Off Warning: What to Do Next
How Companies House compulsory strike-off differs from voluntary dissolution, the First and Second Gazette Notice timeline, and how to stop it before your UK LTD is removed from the register.

Quick answer
Companies House can strike a company off the register if it fails to file accounts or confirmation statements. A Gazette notice is published first, and if nothing is filed within about two months the company is dissolved. File the overdue documents promptly to stop the process.
Compulsory strike-off is not the same as voluntary dissolution
Voluntary dissolution is something you choose to do, by filing Form DS01 when you want to close a company. Compulsory strike-off is the opposite — it's initiated by Companies House itself, against your wishes, when the Registrar has reasonable cause to believe your company is no longer in business or operation. The most common trigger is simply missing a required annual filing — the Confirmation Statement or Annual Accounts — not any deliberate wrongdoing.
The actual timeline
Before any public notice, Companies House sends warning letters to the company and its officers at the addresses on file — which is exactly why keeping your registered office and officer contact details current matters. If no response is received, the process moves to a formal, public stage:
- First Gazette Notice — publicly announces the Registrar's intention to strike off the company. This is the trigger point to act.
- Response window — if no contact or objection is received (typically observed around 79 days after the first notice, though the statutory minimum is 2 months), the process proceeds
- Second Gazette Notice — confirms the company has been struck off and dissolved, and the company legally ceases to exist
Roughly two-thirds of companies that receive a First Gazette Notice do go on to be struck off — meaning about a third respond or resolve the underlying issue in time. The notice is a real warning, not a formality to ignore.
What happens if you do nothing
Once dissolution is finalized, the company's bank accounts are typically frozen, any remaining assets can pass to the Crown (bona vacantia), and you lose the limited liability shield and legal standing of the entity — including the ability to invoice clients or hold contracts under that company name. Restoring a struck-off company afterward is a separate, more expensive legal process than simply staying current in the first place.
How to stop it before the Second Gazette Notice
If you receive a First Gazette Notice (or a warning letter before that stage), the fix is almost always the same: file whatever is actually missing — the overdue Confirmation Statement, the overdue Annual Accounts, or both — as quickly as possible, and ensure Companies House has a current, monitored registered office address so future notices don't get missed again. Filing the overdue items before the Second Gazette Notice typically halts the process, since the underlying reason the Registrar believed the company was inactive no longer applies.
Preventing this from ever happening
The entire compulsory strike-off process exists because of one root cause in the vast majority of cases: a missed annual filing deadline. A registered office service with reliable mail monitoring (rather than an address you rarely check, especially as a non-resident director based outside the UK) is what catches a Companies House warning letter before it escalates to a Gazette Notice.
How HynoGo helps
HynoGo's UK registered office and confirmation statement services include deadline tracking and reminders ahead of each filing, specifically to prevent the missed-filing scenario that triggers compulsory strike-off in the first place — and if a notice does arrive, we can help you file the overdue items quickly to halt the process.
