US LLC vs UK LTD for International Founders: Which Should You Choose?

Quick answer

Choose a US LLC if your customers, banking and platforms are mainly American and you can handle US reporting, including Form 5472 for foreign-owned single-member LLCs. Choose a UK LTD if you sell in pounds or euros, want UK banking and a public register, and can handle a Confirmation Statement and annual accounts. Neither removes tax duties in your home country.

What is the short answer?

If most of your customers, platforms and banking are in the United States, a US LLC is the natural fit. If you invoice in pounds or euros, sell to the UK and Europe, or want the credibility of the UK public register and a UK bank, a UK LTD is the natural fit. Many founders choose by customers first and by cost second.

How do the two entities differ in structure?

  • A US LLC is a state-level entity with a flexible structure and an operating agreement; a UK LTD is a private limited company with shareholders and directors, with its details on a public register
  • A US LLC reports to the IRS and a state; a UK LTD reports to Companies House and to HMRC
  • A US LLC can be owned by one non-resident; a UK LTD also can, with at least one director who must verify their identity

What are the yearly obligations?

A foreign-owned single-member US LLC normally files Form 5472 with a pro forma Form 1120 every year, even with no income, and pays the state annual report fee where it applies. A UK LTD files a Confirmation Statement every year and annual accounts, and must keep its registers up to date. Missing deadlines carries penalties and can damage good standing.

Check the current deadlines and penalties on the IRS and GOV.UK pages linked below. They change and they depend on your facts.

Which one is easier to bank with?

Banking depends more on your business model and documents than on the entity type. US fintech banks and UK banks both accept some non-resident owners and decline others. A real business, a unique address and a consistent set of documents help in both countries. Plan for a longer onboarding than a local founder would face.

Which one is better for payment processors?

Both can work. A US LLC fits a processor and a bank in the United States. A UK LTD fits UK processors and banks and can be a better match for pounds and euros. What decides approval is the business model, the documents and the risk signals, not the flag on the certificate.

What about tax?

Neither company removes your tax duties in the country where you live. In many countries the profits of a company you control can be taxed at home through controlled-foreign-company rules or on distribution. Some US LLCs owned by non-residents pay no US federal income tax when they have no US-source or effectively connected income, but they still have filing duties. A UK LTD pays UK corporation tax on its profits. Get advice from a qualified adviser who knows your country.

Which should I choose?

If you are unsure, tell us about your customers, your banking needs and your country, and we will recommend honestly, even if the answer is that you do not need a company yet.

  • Mostly US customers, US platforms and a US bank in mind: US LLC
  • Mostly UK or European customers, pounds or euros, a UK bank in mind: UK LTD
  • Want the lowest recurring cost: compare the Wyoming or New Mexico LLC with the UK LTD annual fees
  • Investors or a US venture path in mind: ask about a Delaware entity

How do the options compare for different founders?

Four common situations show how the choice plays out. These are illustrations, not advice.

  • A freelance designer with mostly US clients and a US payment platform: a US LLC usually fits, as long as the annual reporting is handled
  • A software founder selling in pounds and euros to European customers: a UK LTD often fits, with Companies House filings and UK banking
  • An online shop shipping to the US from a supplier in another country: a US LLC often fits, with attention to sales tax and customs
  • An agency with clients in several countries: either can work, so choose on where the contracts are signed and where you can bank

What are the banking realities?

Opening a business bank account as a non-resident takes longer than for a local founder, whichever entity you choose. Expect questions about the business, the owners and the source of funds, and be ready for a few declines before you find a bank that fits. Keep documents consistent, give a clear business description and do not apply to many banks at once.

What is a sensible way to compare annual cost?

Add up the government fee, the registered agent or office fee, any state report, any accounting for the required filings and the bank fees. Compare the total over three years, not the first-year price alone, because formation promotions and renewals differ. Check the current figures on the government sites and from providers.

Can I change my mind later?

You can form a second entity or close one, but moving a business is not free. Contracts, accounts, platforms and tax records have to be moved or replaced. It is cheaper to choose on your real customers and banking from the start, and to speak to an adviser if your plans are unclear.

What should I ask before I decide?

  • Where are most of my customers and my platforms?
  • Which currency will I invoice in and where will I bank?
  • Which annual filings can I realistically keep up with?
  • What does my home country say about foreign companies I control?
  • Is my business model allowed by the processors I plan to use?

How does HynoGo help?

HynoGo forms both entities, provides the registered address, files annual obligations and prepares bank and payment-processor documents. We do not promise that any bank or processor will accept you, and we do not give tax advice.
