Does an EIN Expire? The Truth About IRS EIN Deactivation

A common myth cleared up with the IRS's own rules: EINs never expire. What can actually happen to your EIN's status, and how the IRS genuinely deactivates a business account.

Does an EIN Expire? The Truth About IRS EIN Deactivation

Published by HynoGo — US LLC & UK LTD Formation for Non-Residents — From Anywhere.. Dedicated corporate formation, international taxation, and business compliance intelligence for cross-border founders.

Quick answer

An EIN does not expire. It is a permanent number that the IRS never reissues to another business. An inactive business can have its account flagged or closed, so keep filing required returns, such as Form 5472 for foreign-owned LLCs, to keep the EIN in good standing.

The short answer: EINs are permanent

Per the IRS's own guidance, once an EIN is assigned to a business entity, it becomes that entity's permanent federal taxpayer identification number — it does not expire, and the IRS does not reuse it for another entity, ever. This surprises a lot of founders who assume an EIN works like a license that needs renewal or can lapse from inactivity. It doesn't.

What people actually mean when they say 'EIN revoked'

The confusion usually traces back to a few real but different consequences that get casually described as 'losing your EIN':

  • Form 5472/1120 non-compliance — a foreign-owned LLC that misses this annual informational filing faces a $25,000 penalty, but the EIN itself remains valid and unchanged
  • Business account 'deactivation' — the IRS can deactivate the business account tied to an EIN, but only at your own request, via a formal letter, and only once all required returns have been filed and all taxes paid
  • An LLC falling out of state good standing — this is a state-level status issue (see our guide on delinquent LLC status), completely separate from the EIN's federal standing

None of these are the IRS proactively 'revoking' an EIN for noncompliance — that specific action simply isn't part of how the EIN system works.

How to actually close an EIN account, if you need to

If your LLC is dissolving and you genuinely want to close the IRS business account associated with your EIN, the process is a letter — not a form — sent to the IRS in Cincinnati, OH, including your business's complete legal name, the EIN, the business address, and the reason for closing the account. Critically, the IRS will not close the account until every required return has been filed and every tax balance has been paid.

Why this myth matters practically

Founders who believe their EIN can simply expire sometimes assume an old, unused LLC's EIN has quietly become invalid — it hasn't. If the LLC itself is still active in state records, its EIN is still fully valid federally no matter how long it's gone unused, and any outstanding Form 5472/1120 filing obligations continue accruing penalty risk in the background regardless of EIN activity.
