Why Your LLC Becomes Delinquent and the 30-Day Fix

Quick answer

An LLC becomes delinquent when it misses its annual report or fee, or loses its registered agent. In Wyoming, when an agent resigns you have 30 days to appoint a replacement before the state can move toward administrative dissolution.

'Delinquent' is a specific status, not a vague warning

When a state Secretary of State marks an LLC 'delinquent,' it's a formal pre-dissolution status — a signal that the state considers the entity out of compliance and on a clock toward administrative dissolution, not yet dissolved but no longer in good standing. Wyoming's statute (W.S. Chapter 28, Registered Offices and Agents Act) describes this directly: an entity that fails to maintain a registered agent is classified as 'delinquent awaiting administrative dissolution, revocation or forfeiture of its articles of organization.'

Trigger 1: Your registered agent resigns

A commercial registered agent can resign the relationship — most commonly when a client stops paying the annual fee. Under Wyoming law, the agent must notify the entity at least 30 days before filing their resignation with the Secretary of State. Once the LLC receives that resignation notice, it has exactly 30 days to file a statement appointing a new registered agent. If no successor is appointed within that window, the Secretary of State moves the entity directly to delinquent status.

This 30-day figure is Wyoming's specific rule — other states set their own grace periods, which can be shorter or structured differently, so always check the specific state your LLC is formed in rather than assuming a uniform national rule.

Trigger 2: Missed annual report

The second common path to delinquent status is simply missing the annual report filing and its associated fee — Wyoming's $60 annual report, for example. States generally allow a defined grace period after the due date before moving the entity to delinquent status, after which continued non-filing escalates toward administrative dissolution.

What delinquent status actually costs you in the meantime

While an LLC sits in delinquent status, its ability to transact normally is impaired even before dissolution finalizes — banks and payment platforms that check entity status against the Secretary of State's public record can see 'delinquent' rather than 'active, in good standing,' which is exactly the kind of flag that stalls a Mercury, Wise, or Stripe application mid-review, or triggers a periodic re-verification on an existing account.

Fixing it before administrative dissolution

The fix matches the trigger: file a Statement of Change appointing a new registered agent if that's the cause, or file the overdue annual report and pay the associated fee if that's the cause (or both, if they've compounded). Acting inside the state's grace window restores good standing directly — once the entity has actually been administratively dissolved, the process shifts to reinstatement, which typically costs more and takes longer than simply staying current would have.

How HynoGo helps

HynoGo's registered agent service includes compliance monitoring and renewal reminders specifically to prevent both triggers — we never resign without clear advance notice and a transition path, and we flag upcoming annual report deadlines well before the state's grace window closes.
