UK VAT for Non-Established Taxable Persons: £0 Threshold
Why the UK's £90,000 VAT registration threshold does not apply to non-resident-owned UK LTDs — and when NETP rules mean you must register from your very first pound of UK sales.
Published by HynoGo — US LLC & UK LTD Formation for Non-Residents — From Anywhere.. Dedicated corporate formation, international taxation, and business compliance intelligence for cross-border founders.
Quick answer
A non-established taxable person (NETP) making taxable supplies in the UK must register for VAT whatever the value, because the £90,000 registration threshold does not apply to businesses with no UK establishment. Registration is due within 30 days of the first taxable supply.
The threshold most founders assume applies — and doesn't
UK-resident businesses don't need to register for VAT until their taxable turnover exceeds £90,000 in a 12-month period. Many non-resident UK LTD owners assume the same rule protects them while they're still small — it doesn't. Since 1 December 2012, that standard registration threshold has not been available to non-established taxable persons (NETPs), per HMRC's VAT Registration Manual.
What makes you an NETP
An NETP is, in HMRC's own definition, any person who does not have a UK establishment — not whether your company is incorporated in the UK, but whether you have a genuine fixed place of business there (an office with staff who can make business decisions, not just a registered office address). Most non-resident UK LTD owners running the business remotely from abroad fall into NETP status even though their company is properly UK-incorporated.
A registered office address alone does not count as a UK establishment for this test — it's about where business is actually directed and carried out from.
The real rule: register within 30 days of your first UK taxable supply
If you're an NETP making any taxable supply in the UK — regardless of value, and this explicitly includes digital services — you must register for VAT. There is no grace period to build up revenue first. HMRC requires registration within 30 days of making your first taxable supply in the UK, or from the point you expect to make one.
Deregistration works the same restrictive way
The same rule applies in reverse: the standard UK deregistration threshold isn't available to NETPs either. You can only deregister once you've completely stopped making taxable supplies in the UK — you can't simply drop below a revenue threshold and deregister the way a UK-resident business can.
What this means practically for your UK LTD
If any meaningful share of your UK LTD's customers are UK-based (not just global customers served from a UK entity), check your NETP status early rather than waiting until you're established. Getting this wrong isn't just a paperwork issue — operating without required VAT registration exposes the company to backdated VAT liability and penalties once HMRC catches the gap, which is a much costlier correction than registering proactively.
How HynoGo helps
HynoGo's VAT registration service assesses your NETP status as part of onboarding — rather than assuming the standard £90,000 threshold applies — and handles the HMRC registration directly so you're compliant from your actual first UK taxable supply, not after HMRC notices a gap.
