Why Wyoming is the #1 state for non-resident LLC formation

Wyoming was the first state to allow LLCs (1977) and has continuously passed the most founder-friendly LLC laws in the US — especially beneficial for foreign nationals.

$60/year — lowest fee in the US

Delaware charges $300/year minimum. Florida charges $138/year. Wyoming's $60 annual report fee is the lowest of any LLC-friendly state — significant savings over time.

Complete anonymity for owners

Wyoming does not require member (owner) names in Articles of Organization. Only the registered agent appears publicly. Your identity stays private from competitors, creditors, and data scrapers.

Zero state income tax

Wyoming has no state income tax — personal or corporate. Every dollar your LLC earns is not subject to Wyoming state taxation. One of only 7 states with no income tax at all.

Strongest asset protection laws

Wyoming has the most protective LLC charging order laws in the US. Creditors can only receive a charging order against your LLC interest — they cannot force dissolution or management.

1–2 day formation

Wyoming SoS processes standard LLC filings in 1–2 business days. No lengthy queues. No mandatory publication requirements (unlike New York). Fastest path to a US business entity.

Stripe, Wise, and Mercury eligible

A Wyoming LLC is a fully recognised US business entity. Use your Articles of Organization and EIN to open Stripe, Wise Business, Mercury, and any US payment infrastructure — 100% compliant.

Wyoming vs Delaware vs Other States

For non-residents, Wyoming wins on cost, privacy, and simplicity. Delaware wins only for VC-backed startups. Here's the full comparison.

Consider Delaware

Wyoming can work early-stage. But if you plan to raise from US institutional investors or Y Combinator, consider Delaware from the start.

Key clarifications for foreign owners

FinCEN

Does my Wyoming LLC need to file a BOI report?

No. Since FinCEN's final rule took effect on 14 August 2026, US-formed LLCs, including single-member LLCs owned entirely by non-residents, no longer have to file a Beneficial Ownership Information (BOI) report. Reporting now applies only to certain foreign-formed entities registered to do business in a US state.

Older articles that mention $591 per day penalties describe the previous rules. Banks and payment providers still ask who owns the company, so we keep your Operating Agreement and member registry in order.

BOI rules explained

Privacy

Wyoming privacy and the "Director Registry"

Wyoming LLCs have members and managers, not directors. Member names are not required in Wyoming's public Articles or annual report.

The "Director Registry" in our package is an internal member and ownership registry kept with your Operating Agreement. It is a company record, not a government filing. Banks, the IRS and payment providers still verify the real owner during their own checks.

Wyoming LLC formation FAQ

Everything non-residents need to know about forming a Wyoming LLC in 2026.

Why do most non-residents choose Wyoming for their US LLC?

Wyoming has the lowest annual fee in the US ($60/year vs Delaware's $300/year), no state income tax on any income, the strongest privacy laws (anonymous ownership is permitted), and one of the fastest formation timelines (1–2 business days). For most non-resident clients, Wyoming is the best choice.

Does Wyoming allow anonymous LLC ownership?

Yes. Wyoming does not require the member (owner) names to be publicly listed in the Articles of Organization. Only the registered agent is publicly visible. This is one of Wyoming's strongest privacy features — especially valuable for non-resident owners.

Do I pay Wyoming state income tax on my LLC income?

No. Wyoming has no state income tax. There is no state-level tax on business or personal income. The only recurring state cost is the $60/year annual report filing fee. This makes Wyoming the most cost-efficient state for non-resident LLC owners.

How long does Wyoming LLC formation take?

Standard Wyoming LLC formation takes 1–2 business days for HynoGo clients. The Articles of Organization are filed with the Wyoming Secretary of State. EIN registration with the IRS takes an additional 2–3 days via fax expedite.

Do I need to be a US citizen or resident to form a Wyoming LLC?

No. Any foreign national can form a Wyoming LLC. There is no US citizenship, residency, Social Security Number, visa, or US address requirement. You own the entity 100% from your home country.

Can I use my Wyoming LLC to open Stripe and US banking?

Yes. A Wyoming LLC is a fully recognised US business entity. You can open Stripe, Wise Business, Mercury, and any US business banking product using your Wyoming LLC documents (Articles of Organization, EIN, Operating Agreement). This is the primary reason non-residents form Wyoming LLCs.

What are the ongoing costs of a Wyoming LLC?

Wyoming's annual report fee is $60/year. Registered agent service is typically $50–99/year (included in HynoGo's first year). There are no state income taxes. Federal filing obligations depend on your income structure — typically Form 5472 + 1120 (information return only for non-US-source income).

Is Wyoming or Delaware better for non-residents?

Wyoming is the better fit for most non-resident clients. Delaware is preferred only if you plan to raise US venture capital (VCs expect Delaware C-Corp or LLC), require access to the Chancery Court for legal precedent, or plan to convert to a C-Corp for equity fundraising. For freelancers, agencies, SaaS, and e-commerce — Wyoming wins on cost and privacy.

Can I change my Wyoming LLC to Delaware later?

Yes. You can file a conversion or domestication to move your Wyoming LLC to Delaware if needed later — typically when raising VC or converting to a C-Corp. This process is straightforward and commonly done by startups that begin in Wyoming and later seek institutional investment.

What documents do I receive after Wyoming LLC formation?

Articles of Organization (filed + stamped by Wyoming SoS), Certificate of Formation, Operating Agreement, EIN confirmation letter (SS-4), and all documents in your HynoGo client dashboard — ready for Stripe, banking, and Wise Business KYB.

What is included: your questions answered

Do I get the approved Articles of Organization and a state filing receipt?

Included in package. A Wyoming business address for your public records and official correspondence. It is a mailing and registered address, not a staffed office. Some banks and payment providers ask for a physical business address, so check their requirements before you apply.

Is mail scanning and forwarding included, including IRS and legal notices?

Included in package. Official IRS, state and legal mail received at your address is scanned and uploaded to your client portal. Where a mail provider needs USPS Form 1583, we guide you through it.

Is the registered agent included for 12 months, and what does renewal cost?

Included in package. Statutory registered-agent service for the first 12 months, including forwarding of legal and state notices. The renewal cost for year two is shown at checkout and in your portal before it renews.

Do I receive organizer handover documents confirming my authority as member or manager?

Included in package. A handover document confirming that the organizer steps aside and that you, as the member or manager, hold full authority over the LLC.

Is the Form SS-4 submission and the official IRS EIN confirmation included?

Included in package. We prepare and submit Form SS-4 and you receive the official IRS EIN confirmation (CP 575 or 147C). No SSN or ITIN is required. Typical timing is 2 to 3 business days; the IRS controls the final timing.

Do you assess BE-13 reporting or exemption claims?

Guidance included. General information on the Bureau of Economic Analysis BE-13 survey and how its exemptions work for a new foreign-owned US business. This is information, not legal advice. Please confirm your own position with a US adviser.

Is the first-year Form 5472 and pro forma 1120 included?

Year 2 / add-on. A foreign-owned single-member LLC normally files Form 5472 with a pro forma Form 1120 each year, due April 15. Preparation is offered as a Year 2 add-on. Your included compliance calendar shows the deadline either way.

Do you assess additional US tax filings or other-state registration needs?

Guidance included. A checklist that helps you spot whether your activities could create filing or registration duties outside Wyoming. It is informational, not a tax opinion, so confirm your position with a US tax adviser.

Do you give guidance on records for owner contributions, withdrawals and related-party transactions?

Guidance included. A checklist for recording owner contributions and withdrawals and keeping business and personal funds separate, which also helps protect the limited liability of your LLC.

Do you help with address or responsible-party updates, including Form 8822-B?

Guidance included. A template and step-by-step guidance when your responsible party or address changes. Future changes handled by us are quoted before work starts.

Will I get a compliance calendar with deadlines and ongoing costs?

Included in package. A calendar of state and federal deadlines and renewal dates, with who is responsible for each, so your company stays in good standing.

Why is BOI not part of a US-formed LLC package?

FinCEN's final rule (effective 14 August 2026) removed BOI reporting for US-formed LLCs, so no report is due for your Wyoming LLC. We explain the current rules and keep your ownership records ready for bank and payment-provider checks.

What does "Director Registry" mean for a Wyoming LLC?

Wyoming LLCs have members and managers, not directors. The registry in our package is an internal member and ownership record kept with your Operating Agreement. It is not a government filing.

What are the delivery timelines and who fixes filing errors?

Formation is typically 2 to 3 business days after we receive complete, verified information. If an error was made by us, we correct it at our cost. See our refund policy for how government fees and service fees are treated.
